1. Introduction & Acceptance

Welcome to Oniro Pro. These Terms of Service ("Terms") govern your access to and use of the Oniro Pro Shopify theme ("Product" or "Oniro Pro") provided by Oniro Pro ("we," "us," or "our"). By purchasing, downloading, installing, or using Oniro Pro, you agree to be bound by these Terms.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use Oniro Pro. If you are using Oniro Pro on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not purchase, download, install, or use Oniro Pro.

2. Product Description

Oniro Pro is a premium Shopify theme designed for e-commerce storefronts. The Shopify theme includes:

• Pre-designed templates and layouts
• Customization options and features
• Documentation and setup guides
• Email support
• Lifetime updates to the Shopify theme

Oniro Pro is sold as a one-time payment product. There are no subscription fees, recurring charges, or monthly payments required to use Oniro Pro after the initial purchase.

The Shopify theme is delivered digitally and requires a valid Shopify account to install and use.

3. License Terms

3.1 License Grant

Upon purchase of Oniro Pro, we grant you a non-exclusive, non-transferable license to use the Shopify theme on one (1) Shopify store per license purchased. Each license entitles you to install and use Oniro Pro on a single Shopify store only.

3.2 Usage Rights

Subject to these Terms, you may:

• Install and use Oniro Pro on one Shopify store per license purchased
• Customize and modify the Shopify theme for your store's use
• Use the Shopify theme for commercial purposes on your licensed Shopify store
• Receive and install lifetime updates to the Shopify theme

3.3 Restrictions

You may NOT:

• Use one license on multiple Shopify stores (you must purchase a separate license for each Shopify store)
• Resell, redistribute, sublicense, or share Oniro Pro with third parties
• Create derivative works based on Oniro Pro for resale or distribution
• Remove copyright notices, trademarks, or proprietary markings from Oniro Pro
• Use Oniro Pro to create competing products or services
• Reverse engineer, decompile, or disassemble the Shopify theme

3.4 License Transfer

Licenses for Oniro Pro are non-transferable. You may not transfer, assign, or sell your license to another party without our express written consent.

4. Payment Terms

Oniro Pro is available for purchase through a one-time payment. The purchase price is displayed at the time of purchase and includes all applicable taxes where required by law.

Payment processing is handled by our merchant of records (payment processor). By completing a purchase, you authorize the merchant of records to charge your payment method for the one-time payment amount.

All prices are in the currency displayed at the time of purchase. We reserve the right to change prices at any time, but price changes will not affect purchases already completed.

Upon successful completion of your one-time payment, you will receive access to download and use Oniro Pro. There are no recurring charges, subscription fees, or additional payments required after the initial one-time payment.

5. Refund Policy

We offer a 30-day money-back guarantee for purchases of Oniro Pro. If you are not satisfied with the Shopify theme for any reason, you may request a full refund within 30 days of your purchase date.

5.1 Refund Process

To request a refund, please contact us at hi@oniropro.com with your purchase details. Refund requests must be submitted within 30 days of the original purchase date.

5.2 Refund Conditions

Refunds will be processed to the original payment method used for the purchase. Processing times may vary depending on your payment provider, typically 5-10 business days.

Upon receiving a refund, your license to use Oniro Pro will be terminated, and you must immediately cease all use of the Shopify theme and remove it from your Shopify store.

5.3 Non-Refundable Items

Refunds are not available for purchases made more than 30 days ago, or if you have violated these Terms of Service.

6. Support & Updates

6.1 Email Support

Your purchase of Oniro Pro includes email support. We will provide assistance with installation, setup, and general usage questions related to the Shopify theme.

Support is provided via email at hi@oniropro.com. We aim to respond to support inquiries within 24-48 hours during business days.

6.2 Support Scope

Support includes:

• Installation and setup assistance for Oniro Pro
• Guidance on using Shopify theme features
• Troubleshooting technical issues with the Shopify theme
• Documentation and resource access

Support does not include:

• Custom development or coding services
• Third-party app integration support
• Shopify platform support (contact Shopify directly)
• Design or marketing consultation

6.3 Lifetime Updates

Your purchase of Oniro Pro includes lifetime updates to the Shopify theme. This means you will receive all future updates, improvements, bug fixes, and new features added to Oniro Pro at no additional cost. Updates will be made available through your account or via email notification.

7. Intellectual Property

Oniro Pro, including all code, designs, graphics, documentation, and related materials, is protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in and to Oniro Pro remain with us and our licensors.

The license granted under these Terms does not transfer ownership of Oniro Pro to you. You receive only the right to use the Shopify theme in accordance with these Terms.

"Oniro Pro" is a trademark owned by us. You may not use our trademarks, logos, or brand names without our prior written consent, except as necessary to identify Oniro Pro in connection with your use of the Shopify theme.

Any modifications you make to Oniro Pro for your own use do not grant you ownership rights in the underlying Shopify theme. You retain ownership of your custom content, but the base Shopify theme remains our property.

8. User Obligations

You agree to:

• Provide accurate and complete information when purchasing Oniro Pro
• Maintain the security of your account and license information
• Use Oniro Pro only in accordance with these Terms and applicable laws
• Comply with all Shopify terms of service and policies when using the Shopify theme
• Not use Oniro Pro for any illegal, fraudulent, or harmful purposes
• Not attempt to circumvent or disable any security features of the Shopify theme

You are responsible for ensuring that your use of Oniro Pro complies with all applicable laws, regulations, and third-party rights in your jurisdiction.

9. Limitation of Liability

9.1 Disclaimer of Warranties

ONIRO PRO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that Oniro Pro will be error-free, uninterrupted, secure, or meet your specific requirements. The Shopify theme is provided for use with Shopify, and we are not responsible for Shopify platform issues or changes.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF ONIRO PRO.

Our total liability for any claims arising from or related to Oniro Pro shall not exceed the amount you paid for the Shopify theme.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Oniro Pro, its owners, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your use of Oniro Pro, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to terminate or suspend your license to use Oniro Pro immediately, without prior notice, if you breach any of these Terms.

Upon termination:

• Your right to use Oniro Pro will immediately cease
• You must immediately remove the Shopify theme from your Shopify store
• You must delete all copies of Oniro Pro in your possession
• Sections of these Terms that by their nature should survive termination will remain in effect

Termination of your license does not entitle you to a refund unless you are within the 30-day refund period and have not violated these Terms.

11. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
